Terms & Conditions

"RunKali", "we" and "us" mean RunKali, headquartered in Vancouver, British Columbia, Canada. "You" means the organisation acquiring the System. Contact: info@runkali.com.

These terms are for business customers. The System is not offered to consumers.

A System comprises: (a) Hardware — a physical AI server installed at your premises; (b) the Software pre-installed on it, licensed to you under section 06; and optionally (c) Services as separately quoted.

Configurations, capacity figures and performance characteristics published on this website are indicative. The specification that binds us is the one in your quote or order confirmation.

Prices shown by the website calculator are estimates. They are not an offer, do not bind either party, and may change with component availability, exchange rates and configuration. A binding price exists only in a written quote issued by us and accepted by you.

Prices exclude taxes, duties, shipping, insurance, installation and any customs charges unless the quote says otherwise. Currency conversions shown on this site use rates fixed at a point in time and will drift.

Buy. Payment in full, in advance, unless agreed otherwise. Title and risk pass to you on delivery. The Hardware is yours.

Lease. Fixed instalments across the agreed term. Risk passes on delivery; title passes only on payment of the final instalment. Until then you may not sell, encumber or relocate the Hardware off the installation site without our written consent.

Rent. Monthly payment for the agreed term. Title never passes and risk of loss or damage beyond fair wear and tear sits with you. Hardware replacement for faults not caused by you is included. At the end of the term you return the Hardware in working order, fair wear and tear excepted, or we agree a further term. You are responsible for erasing your data before return; we will securely wipe on receipt in any event.

Delivery dates are estimates and depend on component lead times. You are responsible for the installation environment — power, cooling, network, physical access and security. Acceptance occurs on installation and successful power-on, or fourteen days after delivery if installation is delayed for reasons attributable to you.

We grant you a non-exclusive, non-transferable licence to use the Software on the Hardware supplied, for your own business purposes, for as long as you comply with these terms. The Software is licensed, not sold. You may not reverse engineer, decompile, sublicense, or remove proprietary notices, except where such a restriction is unenforceable by law.

The licence is priced per GPU per month and billed monthly. It covers security updates, new features, verified AI model updates and IT support.

Open-source components are licensed under their own terms, which prevail over this section for those components.

The System processes your data on your own hardware, on your premises. In normal operation we do not receive, store or have access to your prompts, documents or business data, and no third-party AI provider does either. Your data is not used to train any model.

You are the controller of any personal data processed on the System and are responsible for the lawfulness of that processing. If support work ever requires us to access the System, it happens only with your prior authorisation and on your terms. See our Privacy Policy for what we do process, which is limited to website and business-contact information.

We warrant that the Hardware will be free from material defects in materials and workmanship for twelve months from delivery, and that the Software will perform substantially as described in its documentation. Your remedy is repair or replacement of the affected component, or — if neither is commercially reasonable — a refund of the amount paid for it.

The warranty does not cover damage from misuse, unauthorised modification, unsuitable power or environment, or third-party hardware or software. Manufacturer warranties on components are passed through where they are transferable.

Beyond the warranties stated here, and to the extent permitted by law, the System is supplied without other warranties, express or implied. Nothing in these terms excludes a warranty or condition that cannot lawfully be excluded.

AI systems produce probabilistic output. Output may be incorrect, incomplete or unsuitable for a given purpose. You are responsible for human review before relying on output for any decision with legal, financial, safety or regulatory consequence. We make no warranty as to the accuracy of AI output.

The Hardware contains items subject to export control law, including that of Canada and the United States. You confirm you will not export, re-export, transfer or make the System available, directly or indirectly, in breach of any applicable export control or sanctions law, and that you are not owned or controlled by, or acting on behalf of, a restricted party. We may decline or unwind any order that would put us in breach of those laws.

Integration, consulting, training and custom model work are quoted separately and billed against hours worked unless a fixed fee is agreed in a statement of work. You own the outputs specific to your business; we retain ownership of our pre-existing materials, tooling and general know-how, and may reuse them.

Invoices are payable within thirty days unless the quote says otherwise. Overdue amounts may carry interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend the supply of licence updates and support — not the operation of the System — while an undisputed invoice is materially overdue.

Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings, goodwill or data, however arising.

Subject to the above, each party's total aggregate liability arising out of or in connection with the supply of a System is limited to the total amounts paid by you for that System in the twelve months preceding the event giving rise to the claim.

Either party may terminate for material breach that is not remedied within thirty days of written notice, or on the other party's insolvency. On termination, sums due for Hardware delivered and Services performed remain payable; leased Hardware not yet paid in full, and rented Hardware, is returned to us. Your perpetual right under section 06 to keep using the Software version you hold survives, provided the Hardware is lawfully yours.

These terms are governed by the laws of British Columbia, Canada and the federal laws of Canada applicable there. The courts of British Columbia have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

These terms, together with the applicable quote, order or statement of work, form the entire agreement between us on their subject matter. If a provision is unenforceable, the rest stands. A failure to enforce a right is not a waiver of it. Neither party may assign without the other's consent, except to a successor of its business. We may update these terms for future orders by posting a revised version here; the version in force when your order is accepted governs that order.
